Terms and Conditions

Ceros may offer products, features, or tools as part of the Subscription Services that are powered by artificial intelligence, machine learning, or similar technologies (collectively, "AI Features"). The terms in this section govern your use of the AI Features within the Subscription Services and are thereby incorporated into and made a part of your Agreement with Ceros. In the event of any conflict between the Subscription Agreement and these AI Features Terms, the AI Features Terms shall prevail, but only with respect to the use of any AI Features. Any capitalized terms not defined herein shall retain the definitions provided in your Agreement. 

If any AI Features are provided as a Beta Service, the Ceros’ Beta Terms and Conditions will also apply. 

Some AI Features in your account may be on by default; you can adjust these settings at any time by contacting your dedicated Customer Success Manager. If you have any questions or concerns about AI Features you may reach out to your Customer Success Manager and/or legal@ceros.com. 

1. AI Credits. 

1.1. Customers with an active subscription to the Ceros Platform that includes access to Flex may purchase FlexAI credits (“Credits”). Credits may be used solely during the applicable Term and only while Customer maintains such access to the Ceros Platform to access FlexAI services. Customers may purchase Credits through the Ceros Platform in the following ways:

1. Directly within Flex using a valid credit card, for purchases up to $5,000 per transaction.
2. By enabling automatic credit top-off using a stored credit card for recurring purchases.
3. Through a prepaid credit retainer purchased pursuant to an Order Form with Ceros. Customers may contact their Customer Success Manager for assistance with such purchases.

Purchased Credits do not expire and are made available for use within Flex immediately upon successful purchase. Customer is responsible for any applicable taxes associated with the purchase of Credits.

1.2. Credits are consumed when the Customer uses FlexAI services within the Ceros Platform. Customer may monitor Credit usage and remaining balances within their Ceros instance. Customers are responsible for reviewing and managing their Credit usage.

1.3. Credits are personal to the Customer and may not be transferred, sold, or assigned to any third party.

1.4. Credits are not redeemable for cash or any other monetary value outside the Ceros Platform.

1.5. Credits are non-refundable once purchased, including partially used Credits. Ceros is not responsible for providing refunds, credits, or other compensation due to model updates, changes in AI behavior, or variations in Credit consumption rates.

1.6. Credits represent a fixed unit of usage at the time of purchase. The purchase price of Credits is fixed at the time of purchase, and any changes to Credit pricing will apply only to future purchases.

1.7. Credit consumption rates (i.e., the amount of Credits required to access specific FlexAI features or services) may vary by feature, model, or usage type, and may be updated by Ceros from time to time. Such changes may affect the effective value or utilization of previously purchased Credits.

1.8. FlexAI services may change, be unavailable, or vary in performance over time due to ongoing model updates, system improvements, or dependencies on third-party model providers. Ceros does not guarantee the availability, consistency, or performance of any specific AI models, features, or outputs.

1.9. Ceros reserves the right to suspend or limit access to FlexAI services in the event of unusual, excessive, or abusive usage patterns.

2. Content.

2.1. You must review AI-generated content for accuracy and ensure your use of such content complies with applicable law, applicable third-party terms and conditions, and your agreement with Ceros. AI-generated content may be inaccurate, incomplete, unreliable, or contain errors, vulnerabilities, or unintended or harmful elements. You are responsible for independently reviewing all AI-generated content before using, publishing, or sharing it. You may not use the AI Features to create, upload, or share content that infringes or violates any third party’s intellectual property, privacy, publicity, or other legal rights. You are responsible for all content associated with your use of the AI Features, including: (i) any text, images, or other content that you upload or submit to the AI Features (“Input”), and (ii) any text, images, or other content generated by the AI Features based on your Input (“Output”). Input and Output are collectively referred to as “Content.”

2.2. You must ensure that your use of the AI Features, including any Content, complies with this Agreement and applicable law.

2.3. If you choose to include Personal Information in your interactions with the AI Features, such information will be processed by Ceros in accordance with the Agreement and Ceros Privacy Policy and may be shared with Ceros’ AI Service Providers (as defined below) and other authorized sub-processors for the purpose of providing the AI Features. 

2.4. Ceros will not provide Customer Data or Content to any third party for the purpose of training that third party’s AI models. Ceros will also not use Customer Data or Content to its own AI models or to provide services to other customers.

3. Ownership. 

3.1. Subject to the terms and conditions of the Agreement, as between the parties and to the extent permitted by applicable law, you retain all rights you may have to use and exploit your Output. Ceros retains all ownership in and to the AI Features. 

3.2. Subject to these Terms and the Agreement, you may use Output for any lawful purpose. You may not use Output for any unlawful, defamatory, or malicious purpose. Your use of Output must also comply with applicable law and may not infringe or violate any third-party rights. Without limiting the foregoing, you may not use Output to:

1. infringe or misuse any third party’s trademarks, logos, brands, or other identifiers;
2. reproduce or distribute copyrighted works or other protected content without authorization; or
3. compile, aggregate, or otherwise use Output generated by the AI Features to develop, train, or provide a competing artificial intelligence or machine learning service.

3.3. You acknowledge that Output generated by the AI Features may not be unique. The AI Features may generate the same or similar Output for multiple users, including where users submit similar or identical Inputs. Output generated for other customers is not considered your Content and you do not have any rights to such output.

4. AI Service Providers. Some elements of the AI Features are provided through third party service providers (“AI Service Providers”). You acknowledge that your Content will be shared with and processed by our AI Service Providers, to enable your use of our AI Features. 5. Availability. AI Features may change, be unavailable, or vary in performance over time due to ongoing model updates, system improvements, or dependencies on third-party model providers. Ceros does not guarantee the availability, consistency, or performance of any specific AI models, features, or outputs.

6. Modifications. We may make any changes to the AI Features provided to you during the Term or change the limits that apply to you at any time in our sole discretion. 

7. Indemnification. Ceros does not provide additional indemnification specifically related to Customer’s use of the AI Features. Output may be inaccurate or misleading, or otherwise reflect content that does not represent Ceros’ views; use your judgment to review and validate Output.

8. Disclaimer. AI FEATURES ARE PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO AI FEATURES, AND DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE AI FEATURES WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE.
